Terms of Use and End-User License Agreement

Effective August 28, 2026

These Terms govern access to TwelveSpec OS, a private business operations application operated by MCALCO Group LLC doing business as TwelveSpec ("TwelveSpec," "we," or "us"). By accessing the application, you agree to these Terms.

Authorized use

TwelveSpec OS is provided only to users authorized by TwelveSpec. We grant authorized users a limited, revocable, non-exclusive, non-transferable right to use the application for legitimate TwelveSpec business activities.

Account security

You must protect your login credentials, use the application only through your assigned account, and promptly report suspected unauthorized access. You are responsible for activity performed through your account except where caused by our failure to apply reasonable safeguards.

Acceptable use

You may not attempt to bypass access controls, probe or disrupt the service, introduce malicious code, copy or resell the application, use it unlawfully, or access information beyond your authorized business role.

Business and third-party data

The application may connect to services such as Google Workspace and QuickBooks Online. Your use of those services remains subject to their respective agreements. TwelveSpec OS does not replace the authoritative accounting records maintained in QuickBooks Online.

Ownership

TwelveSpec and its licensors retain all rights in the application, workflows, branding, documentation, and software. Customer, vendor, accounting, and operational records remain subject to applicable ownership rights and business agreements.

Availability and changes

We may update, suspend, or discontinue features to maintain security, reliability, compliance, or business operations. We do not guarantee uninterrupted availability.

Disclaimer and limitation

To the extent permitted by law, the application is provided without warranties not expressly stated in a written agreement. TwelveSpec is not liable for indirect, incidental, special, or consequential damages arising from use of the application.

Termination

Access ends when authorization is withdrawn, employment or engagement ends, or these Terms are violated. Provisions concerning ownership, confidentiality, limitations, and applicable law survive termination.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
